1. Parties
This Service Agreement ("Agreement") is entered into between Pan American Corporation, a New York corporation (File No. 220829001257), doing business as USA ONE CALL ("Company"), and the client identified below ("Client").
2. Scope of Services
Company agrees to provide Client with trucking compliance and business support services as selected below, which may include preparation and submission of MC/DOT registration, permits, business formation filings, broker/load board account setup, and related administrative filings ("Services").
3. No Guarantee of Approval
Client acknowledges that all filings, registrations, permits, and applications are subject to review and approval by third-party government agencies, brokers, insurers, or other entities outside Company's control. Company does not guarantee approval, issuance, or any particular outcome or timeline. Company's obligation is limited to accurate and timely preparation and submission of the applicable filings on Client's behalf.
4. Client Responsibilities
Client agrees to provide accurate, complete, and timely information and documentation required to perform the Services. Company is not responsible for delays, denials, or additional costs resulting from inaccurate, incomplete, or untimely information provided by Client.
5. Fees & Payment
Fees are due as agreed at the time of service selection. Fees paid for Company's preparation and filing work are non-refundable once work has begun, except as otherwise required by law. Government filing fees, third-party charges, and permit costs are separate from Company's service fees unless explicitly stated otherwise.
6. Limitation of Liability
To the maximum extent permitted by law, Company's total liability under this Agreement shall not exceed the amount of fees paid by Client for the specific Service giving rise to the claim. Company shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of income, business opportunities, or operating authority delays.
7. No Legal or Insurance Advice
Company provides administrative and compliance support services and does not provide legal, tax, or insurance advice. Client is encouraged to consult a licensed attorney, accountant, or insurance professional as needed.
8. Term & Termination
This Agreement remains in effect until the selected Services are completed or terminated by either party with written notice. Fees for work already performed remain due upon termination.
9. Governing Law
This Agreement shall be governed by the laws of the State of New York, without regard to conflict of law principles.
10. Acceptance
By typing their name below and submitting this form, Client acknowledges they have read, understood, and agree to be bound by the terms of this Agreement.
